ANNOUNCED

Anthropic amends its IPO filing: $33.2B in nine-month revenue, $895.4B in commitments — and a warning it may soon cross its own AI R&D threshold

Anthropic filed Amendment No. 1 to its Form S-1 with the SEC on November 2, updating the prospectus it made public on October 26. The amendment adds third-quarter figures: revenue of $17.0 billion in Q3 alone and $33.2 billion for the nine months to September 30, against $2.5 billion a year earlier, with the nine-month operating loss shrinking to $1.3 billion. The share count and price range are still blank.

The filing also fills in a number the first version left empty: about $895.4 billion in purchase and lease commitments, almost all for compute and infrastructure, with $447.5 billion due by the end of 2030 and many contracts on take-or-pay terms. A passage already in the October filing is now being read closely alongside it: the list-price value of Anthropic's internal Claude use grew more than 250 times from January to September, first exceeded monthly personnel expense (excluding stock-based compensation) in April, and Claude wrote over 90% of the company's code contributions in September.

The genuinely new sentence is a risk factor. Anthropic says internal estimates about future models suggest it may imminently meet its Responsible Scaling Policy's definition of dramatically accelerated progress attributable to AI — the point at which AI starts speeding up AI research itself. No current model has been designated past the threshold, the company stresses, and it warns its evidence relies on lagging indicators, so in the past it did not notice a significant acceleration until after it had happened.
